When it comes to the details licensing can be a complicated, yet rewarding subject. The right licensing creates security for the application and cost benefits in their use.

If for existing or planned installations, we advise you willingly if you have license questions to DB2.


LICENSE INFORMATION

The Programs listed below are licensed under the following terms and conditions in addition to those of the IBM International License Agreement for Evaluation of Programs (IBM form number Z125-5543-03).

The evaluation period begins on the date that You agree to the terms of this Agreement and ends after 90 days.

Limited Use Rights for Other IBM Programs

If You acquired this Program as part of another IBM Program ("Principal Program") that lists this Program under "Other IBM Programs," You received this Program only in support of the Principal Program and Your rights to use this Program will be limited by the license of the Principal Program. Please contact Your IBM Sales Representative if You wish to acquire a separate license to this Program not limited by the Principal Program's license terms.

Other IBM Programs

The Program is licensed as a multi-product package and includes other products distributed with the Program ("Other IBM Programs"). You are authorized to install and use such Other IBM Programs only in association with Your licensed use of the Program under this Agreement. The Other IBM Programs may not be used for any other purpose. You are not authorized to transfer or remarket the Other IBM Programs. The terms of the Program's Agreement may replace or modify the license terms for the Other IBM Programs. In the event of conflict, the Program's terms supersede the terms of the license agreement which accompanies the Other IBM Programs. When Your right to use the Program expires or terminates, You must discontinue use, destroy or promptly return all copies of the Other IBM Programs to the party from whom You acquired it; if You downloaded the Other IBM Programs contact the party from whom You acquired it. If You wish to license the Other IBM Programs for any use beyond the limits set forth above, please contact an IBM Sales Representative or the party from whom You acquired it to obtain the appropriate licenses.

The provisions of this paragraph do not apply to the extent they are held to be invalid or unenforceable under the law that governs this license. The components listed below are "Excluded Components." Notwithstanding any of the terms in the Agreement or any other agreement You may have with IBM:
(a) the third party suppliers of such Excluded Components ("Suppliers") provide the components WITHOUT WARRANTIES OF ANY KIND and, such Suppliers DISCLAIM ANY AND ALL EXPRESS AND IMPLIED WARRANTIES AND CONDITIONS INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, NON-INFRINGEMENT OR INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE EXCLUDED COMPONENTS;
(b) in no event are the Suppliers liable for any direct, indirect, incidental, special, exemplary, punitive or consequential damages, including but not limited to lost data, lost savings, and lost profits, with respect to the Excluded Components; and,
(c) IBM and the Suppliers are not liable to You, and will not defend, indemnify, or hold You harmless for any claims arising from or related to the Excluded Components.

Notwithstanding these exclusions, in Germany and Austria, IBM's warranty and liability for the Excluded Components is governed only by the respective terms applicable for Germany and Austria in the IBM license agreements.

Program-unique Terms

1) License Key Registration

Before using this Program, You agree to register the appropriate license keys using the included DB2 License Center component. The license keys are included with Your Proof of Entitlement ("PoE"). License keys are required to authorize use of the base data server, as well as any separately purchasable features.

2) Charge Metrics

Charges for this Program are based on one of the following metrics. Consult your PoE to determine which usage terms apply to this Program.

2.1) Authorized User

If You have acquired this Program with the Authorized User Option, then this Program is licensed for install on a single server. You must acquire a separate Authorized User license for each Authorized User of the Program as described below.

Authorized User: An Authorized User is one and only one individual with a specific identity within or outside Your organization. A PoE is required for each Authorized User accessing the Program or any Program component either directly or indirectly through any means. An example of "indirect" access would be through a multiplexing program, device, or application server.

The Program can be accessed by multiple Authorized Users provided that an Authorized User license has been obtained for each individual. Authorized Users have a unique specific identity and ID's cannot be shared or transferred unless there is a change in employment status. An ID can establish one or more connections to the Program and count as a single Authorized User. If an Authorized User makes connections to other DB2 data servers, additional PoE(s) should be obtained for those connections using the charge metric for those other DB2 data servers.

Connections made to this Program through the Intranet (connections from within Your organization) must be counted as Authorized Users. This Program permits connections from the Internet (connections from outside Your organization) provided that each user can be authorized as per the above definition.

DB2 must be licensed to a minimum of 5 Authorized Users per server on which DB2 is installed.

2.2) Value Units (VU)

If You have acquired this Program with the CPU Option, then this Program is licensed based on the number of Value Units that apply to the processors that are attached or available to the DB2 data server or servers on which it is installed. You must acquire a separate Value Unit licenses for each of the processors that are attached or available to the DB2 data server.

The total number of processors attached or available may not exceed the number authorized by the applicable Value Unit PoE(s).

3) Usage Restrictions

3.1) Resources

You may install and use this Program on a server subject to all of the following restrictions:

- the server may have a maximum total capacity of 200 Value Units per server; and,
- the Program may use up to a maximum of 4GB of instance memory.

3.2) Component Usage Restriction

You are not authorized to use any of the following with the Program: Database Partitioning Feature, Performance Optimization Feature, Storage Optimization Feature, Advanced Access Control Feature, Materialized Query Tables, Multi-Dimensional Clustering, Query Parallelism, Connection Concentrator, Governor, Row Level Compression, and Workload Management.

3.3) DB2 High Availability Feature for Express Edition

You must acquire this feature under the same charge metric as the underlying DB2 data server.

This feature contains the High Availability Disaster Recovery (HADR), Online Reorganization, Advanced Copy Services, and IBM Tivoli System Automation for Multiplatforms components. A PoE for this feature must be acquired separately.

Before using this feature, You agree to register the appropriate license key using the DB2 License Center. The license key is included with Your PoE for this feature.

This feature includes a limited use version of IBM Tivoli System Automation for Multiplatforms ("SA MP"). Your use of SA MP is subject to the license terms which accompany it, as well as the following limitations. You are authorized to install and use SA MP only in association with your licensed use of this feature and for the sole purpose of providing high availability for the DB2 data server on which this feature was purchased for. Any other use of SA MP requires a full use authorization which may be obtained separately from IBM or its reseller. To the extent of a conflict between the license terms which accompany SA MP and these restricted use terms, these restricted use terms shall take precedence.

To properly license DB2 in a high availability configuration, please refer to the section below entitled High Availability/Failover Configurations.

4) High Availability/Failover Configurations

You must license all the DB2 data servers that participate in these configurations under the same charge metric as the underlying DB2 data server.

After a DB2 data server server is fully licensed, it can be used to service user workload. In High Availability configurations this server is called a Primary server; additional servers acting as backups are called Standby servers that may be deployed in Hot, Idle, or Cold configurations.

In Hot, Idle, or Cold Standby configurations, You must acquire a correct number of Value Unit or Authorized User PoE(s) in addition to the Value Unit or Authorized User PoE(s) You obtained for the Primary server.

4.1) Hot Standby

In an Hot Standby configuration, the Program is operational on all servers to service user transactions or queries. Because each of the Hot Standby servers is used to operate the Program for user transactions or queries before and after a failure, the Program must be fully licensed on all Hot Standby Servers.

If You are licensing under the Value Unit charge metric, then in Hot Standby, You must license the Program for the number of Value Units that apply to the processors attached or available to all Hot Standby server(s). For example, consider an environment with two servers, one Primary server with two processors and one Hot Standby server with two processors. This environment must be licensed for the Value Units that apply to all four processors (two for the Primary server and two for the Hot Standby server).

If You are licensing under the Authorized User charge metric, then in Hot Standby, You must license the Program for the number of Authorized Users associated with all the Hot Standby server(s) for which DB2 is installed. For example, consider an environment with two servers, one Primary server with DB2 installed on two processors and the other one is a Hot Standby server with DB2 installed on two processors. The Primary server must be licensed with a minimum of 5 Authorized Users for the server on which DB2 is installed or the total number of Authorized Users accessing the data server installed on the two processors, whichever is greater. For the Hot Standby server, this server must be licensed in the same manner as the Primary server; for example, a minimum of 5 Authorized Users for the Hot Standby server or the total number of Authorized Users accessing the data server, whichever is greater.

4.2) Idle Standby

In an Idle Standby configuration, Idle Standby servers have the Program installed, however, they do not have the Program operational to service user transactions or query workloads. A server is considered idle if it is used exclusively for administrative actions that assist in failover scenarios such as having a database in rollforward pending state to support log shipping, or in making a flash copy of a DB2 database and then performing a database backup of this copy on another server, or in keeping a standby database synchronized using the High Availability Disaster Recovery (HADR) component.

If You are licensing under the Value Unit charge metric, then in Idle Standby, You must license the Program for 100 Value Units per Idle Standby server only, regardless of the number of processors attached or available to the server. For example, consider an environment with two servers, one Primary server with two processors and one Idle Standby server with two processors. This environment must be licensed for the Value Units that apply to the two processors on the Primary server plus an additional 100 Value Units for the Idle Standby server.

If You are licensing under the Authorized User charge metric, then in Idle Standby, You must license the Program for 5 Authorized Users per Idle Standby server only. For example, consider an environment with two servers, one Primary server with DB2 installed on two processors and one Idle Standby server with two processors. The Primary server must be licensed with a minimum of 5 Authorized Users for the server on which DB2 is installed, or the total number of Authorized Users accessing the data server installed on the two processors, whichever is greater. For the Idle Standby server, only 5 Authorized Users must be licensed.

4.3) Cold Standby

In a Cold Standby configuration, Cold Standby servers may have the Program installed, however, they do not have the Program powered on. A server is considered Cold if, to use it, You must run the command "db2start" to instantiate the DB2 data server.

There are no charges for the Program on Cold Standby servers.

5) Program Components

The Program contains components which are provided to support Your authorized use of the Program on server machines within Your organization. If You want to perform multiple installations and/or distribution of these components You must contact IBM or its reseller to obtain the appropriate licenses. The following are the exceptions:

5.1) DB2 clients and documentation

DB2 clients and documentation are provided with this Program. You may make copies of these clients and documentation in support of Your authorized use of the Program within Your organization.

5.2) DB2 application drivers

The IBM Data Server Driver for JDBC and SQLJ is provided with this Program. You may make copies of these drivers in support of Your authorized use of the Program within Your organization. When using these drivers to connect to DB2 for z/OS, DB2 for VSE and VM or DB2 for i5/OS, the use of these drivers must comply with the terms and conditions of the appropriate DB2 Connect product.

6) IBM Database Enterprise Developer Edition

If this Program is acquired through the IBM Database Enterprise Developer Edition, then the Program can be installed on one or more shared servers for use by all Authorized Users with valid IBM Database Enterprise Developer Edition licenses, up to the level of use authorized by the PoE. You may use all components of the Program only for the purposes of evaluating, demonstrating, testing, and developing application programs.

7) DB2 Restricted Express Edition

If this Program is acquired through the acquisition of another IBM program, then the program unique terms contained within that other IBM program take precedence.

DB2 Restricted Express Edition includes portions of DB2 Express Edition. You are authorized to install and use one copy of this Program only in association with your licensed use of the other IBM program for the storage and management of data used and generated by the other IBM program, and not for other data management purposes. DB2 Restricted Express Edition is to be used only by the internal components of the other IBM program. For example, DB2 Restricted Express Edition can be used as a repository for configuration information generated by the other IBM program and cannot be used to build or extend custom applications that store business data; this license does not permit inbound connections to the database from other applications for queries or report generation. You are not authorized to install or use any separately purchasable features that are available for DB2 unless You purchase a fully licensed version of DB2.

Unless the other IBM program provides specific terms to install multiple DB2 servers for high availability purposes, any Standby servers must be fully licensed based on Hot, Idle, or Cold use as described in the above section entitled High Availability/Failover Configurations.

8) DB2 data server upgrade

Notwithstanding any information that may be presented in the DB2 License Center, in the case of a DB2 Version 8 to DB2 Version 9.5 migration, if You have an active Passport Advantage agreement the following functions are authorized for Your use: Materialized Query Tables, Multi-Dimensional Clustering, Query Parallelism, Backup/Restore Compression, Online Reorganization, Connection Concentrator, Governor, and federated query access for DB2 and Informix data.

In the case of a DB2 Version 9 to DB2 Version 9.5 migration, if You have an active Passport Advantage agreement for the IBM DB2 Workload Management Feature for Express Edition Version 9.1, the following restricted functions are authorized for Your use: Governor, Connection Concentrator, and Query Patroller. If You have an active Passport Advantage agreement for the IBM DB2 Performance Optimization Feature for Express Edition Version 9.1, the following restricted functions are authorized for Your use: Query Parallelism, Materialized Query Tables, and Multi-Dimensional Clustering.

9) DB2 Express-C Fixed Term - 12 Months License and Subscription

If You acquire the Program under a Fixed Term License the following terms apply.

9.1) Resources

The total amount of resources allocated to all DB2 instances on a given server cannot exceed:

a) 2 processor sockets with a total of 4 processor cores; and

b) 4GB of memory

Where a server is defined as a dedicated physical server or a virtual server created by partitioning a physical server.

9.2) Usage Terms

You may use the Program only for a limited period of time, called "Fixed Term". The Fixed Term will be specified in your PoE. At the end of the Fixed Term, Your authorization to use the Program terminates and You agree to discontinue use of the Program. IBM may agree to extend the Fixed Term for an additional payment. If You wish to continue to use the Program beyond the Fixed Term, contact IBM or your DB2 reseller prior to the expiration of the Fixed Term.

9.3) Component Usage Restriction

You are not authorized to use any of the following with DB2 Express-C Version 9.5: Database Partitioning Feature, Performance Optimization Feature, Storage Optimization Feature, Advanced Access Control Feature, Materialized Query Tables, Multi-Dimensional Clustering, Query Parallelism, Connection Concentrator, Governor, Row Level Compression, and Workload Management.

10) Additional Terms

10.1) Usage Restriction - IBM Tivoli System Automation for Multiplatforms

This Program includes a limited use version of IBM Tivoli System Automation for Multiplatforms ("SA MP"). Your use of SA MP is subject to the license terms which accompany it, as well as the following limitations. You are authorized to install and use SA MP only in association with Your licensed use of the Program and for the sole purpose of providing high availability for the Program. Any other use of SA MP requires a full use authorization which may be obtained separately from IBM or its reseller. To the extent of a conflict between the license terms which accompany SA MP and these limited use terms, these limited use preceding terms shall take precedence.

10.2) Usage Restriction - IBM Eclipse Help System 3.1.1

The following subset of Excluded Components and/or Separately Licensed Code was obtained from the Eclipse Foundation: Tomcat, MX4J, Lucene, Lucene HTML Parser, Eclipse Help System (herein collectively referred to as "Eclipse Code"). Notices and important information, including instructions for obtaining source code, for the Eclipse Code may be found in associated "about.html" files ("About Files") located in a directory for the Eclipse Code. These About Files are provided for informational purposes only, and notwithstanding anything to the contrary therein, the terms governing Your use of such Eclipse Code shall be as set forth above in the applicable Excluded Components or Separately Licensed Code section.

10.3) Usage Restriction - HP-UX Java Run Time Environment

HP-UX Java RTE. This Program includes HP-UX Java RTE software as separately licensed code, which is licensed to you under the terms of the HP-UX license agreement and not those of this Agreement. In no event can the HP-UX Java RTE software be modified or redistributed apart from the Program or used for any purpose other than running the Program into which the HP-UX Java RTE software is incorporated.

10.4) Usage Restriction - IBM embedded WebSphere Application Server

The Program is accompanied by an embedded version of IBM WebSphere Application Server ("embedded WebSphere Application Server") Your use of the embedded WebSphere Application Server components is limited to use in support of your licensed use of the Program. The embedded WebSphere Application Server components may not be used for any other purpose.

The following paragraphs titled "CLOUDSCAPE COMPONENTS", "DISABLING DEVICE," "MULTIPLE COMPONENT VERSIONS," and "UNLIMITED COPY COMPONENT" apply to your use of the embedded WebSphere Application Server components, and the term "embedded Program" in these paragraphs shall mean the embedded WebSphere Application Server components.

CLOUDSCAPE COMPONENTS: You may use the IBM Cloudscape components solely for development, testing and evaluation of applications and for production use only as a data repository for data generated and managed by embedded Program.

Some examples of authorized production use include:

(i) provide persistence of "HTTP Session Objects" using the "session persistence" component of the embedded Program to support your authorized use of such component;

(ii) provide a data repository for the UDDI Registry component of the embedded Program to support your authorized use of such component;

(iii) provide a data repository for the Scheduler and EJB Timer components of the embedded Program to support your authorized use of such components; and

(iv) provide a data repository for the messaging engine component of the embedded Program to support your authorized use of such component.

No IBM Cloudscape components may be used separately from the embedded Program, or for any other purpose, or in support of any other programs. If you wish to license IBM Cloudscape for any use beyond the limits of this license, please contact an IBM sales representative to obtain the appropriate licenses.

DISABLING DEVICE: The embedded Program may include a disabling device that will prevent certain features from being used. You will not tamper with such disabling device or otherwise change the embedded Program.

MULTIPLE COMPONENT VERSIONS: The media for the embedded Program may include multiple versions of the same embedded Program component, such as versions designed for different operating systems and versions translated into different languages. Each Proof of Entitlement for the embedded Program authorizes you to use a single version of the embedded Program component. You are not authorized to use multiple versions of the same embedded Program component under the same Proof Entitlement, even if multiple versions of a component are included on the media for the embedded Program.

UNLIMITED COPY COMPONENT: You are authorized to install and use an unlimited number of copies of the Administrative Scripting Program component on any of your machines to support your authorized use of the other components of the embedded Program.

HP-UX Java RTE: The embedded WebSphere Application Server may include HP-UX Java RTE software as separately licensed code, which is licensed to you under the terms of the HP-UX license agreement and not those of this Agreement. In no event can the HP-UX Java RTE software be modified or redistributed a part from the embedded WebSphere Application Server or used for any purpose other than running the embedded WebSphere Application Server into which the HP-UX Java RTE software is incorporated.
